Terms of Service
1. Acceptance of Terms
By accessing or using the BaseLots platform (“Platform”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. BaseLots reserves the right to update these terms at any time. Continued use after changes constitutes acceptance of the revised terms.
2. Eligibility
The Platform is available to individuals who meet the following criteria:
- You must be at least 18 years of age.
- You must be a legal resident of the United States or a U.S. territory.
- You must provide accurate identity and financial information for Know Your Customer (KYC) verification, the identity check required by law.
Both accredited investors (generally, people with $200,000+ income or $1 million+ net worth) and non-accredited investors may participate in offerings conducted under Regulation Crowdfunding (Reg CF), a federal law that lets everyday people invest small amounts in private companies. Non-accredited investors are subject to annual investment limits as defined by SEC rules based on annual income and net worth (what you own minus what you owe, not counting your main home). The SEC is the Securities and Exchange Commission, the federal agency that oversees investments.
3. Investment Risks
Investing in fractional real estate (owning part of a property) through the Platform involves significant risk, including but not limited to:
- Loss of principal (the money you put in): You may lose some or all of your investment.
- Illiquidity (hard to sell): Real estate tokens may not be freely transferable and there may be no secondary market (a place to resell to other investors).
- No guaranteed returns: Income estimates and IRR estimates (internal rate of return, an estimate of the average yearly return over the life of an investment) are forward-looking, meaning predictions, and not guarantees of actual performance.
- Property risk: Property values may decline due to market conditions, damage, vacancy, or regulatory changes.
- Regulatory risk: Changes in securities law or real estate regulation may affect offerings.
You should not invest funds that you cannot afford to lose. Past performance does not guarantee future results.
4. Platform Fees
BaseLots may charge fees in connection with investment transactions, including but not limited to platform fees, management fees, and transaction processing fees. All applicable fees will be disclosed prior to the completion of any investment. Fee schedules will be included in the offering materials for each property once an offering opens.
5. User Accounts
You are responsible for maintaining the security of your account credentials, including any wallet private keys (the secret codes that control a digital wallet). You agree to notify BaseLots immediately of any unauthorized access. BaseLots is not liable for losses resulting from unauthorized use of your account.
6. Intellectual Property
All content on the Platform, including text, graphics, logos, data, and software, is the property of BaseLots or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works (new works based on this content) without prior written consent.
7. Prohibited Conduct
- Using the Platform for money laundering (hiding where illegal money came from), fraud, or other illegal activity.
- Providing false or misleading identity or financial information.
- Attempting to circumvent investment limits or KYC requirements.
- Interfering with the operation or security of the Platform.
8. Dispute Resolution
Any disputes arising from your use of the Platform shall be resolved through binding arbitration (a private process where a neutral arbitrator, instead of a court, makes a final decision) administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You agree to waive any right to a jury trial or participation in a class action (a lawsuit brought on behalf of a group).
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions (rules for choosing which state's laws apply). Any offering will be conducted through an SEC-registered intermediary, a regulated investment platform registered with the SEC, which is subject to federal securities regulation.
10. Limitation of Liability
To the maximum extent permitted by law, BaseLots shall not be liable for any indirect, incidental, special, consequential (follow-on), or punitive (meant to punish) damages arising from your use of the Platform or any investment made through it. Our total liability shall not exceed the fees paid by you to BaseLots in the twelve months preceding the claim.
